Edgars to exit VFEX

Edgars Stores Limited has resolved to voluntarily delist from the Victoria Falls Stock Exchange (VFEX), barely two years after joining the foreign currency-denominated bourse, as the listed retailer reassesses its capital markets position.

The company’s board approved the move following further deliberations after issuing a cautionary statement on 7 July, 2026 in which shareholders and the investing public were advised of a possible corporate action.

In a notice to shareholders, Edgars said the proposed voluntary delisting remains subject to regulatory approvals and completion of the necessary processes.

“Further to the cautionary statement dated 7 July 2026, shareholders and the investing public are advised that the Board of Directors (“the Board”) of Edgars Stores Limited (“the Company”) has resolved to pursue a voluntary delisting of the Company from the Victoria Falls Stock Exchange,” the company said.

Edgars joined the VFEX in 2024, becoming one of the companies to migrate or list on the United States dollar-denominated exchange established to deepen Zimbabwe’s capital markets and attract offshore investment.

The VFEX, launched in 2020, was introduced as a platform to provide investors with access to foreign currency-based trading while helping local companies mobilise offshore capital.

The clothing retailer said additional details regarding the proposed transaction would be released after the completion of regulatory processes and further internal deliberations.

“Further details of the transaction will be provided to Shareholders once all regulatory processes and further deliberations have been finalised,” Edgars said.

The company advised shareholders and investors to exercise caution when dealing in its securities pending a full market update.

“Accordingly, shareholders and the investing public are advised to exercise caution when dealing in the Company’s securities until a full announcement is made,” it said.

Edgars added that it would continue providing updates in line with VFEX listing requirements once there are material developments.

“The Company will issue further announcements in compliance with the Victoria Falls Stock Exchange Listings Requirements as and when there are material developments,” the company said.

The planned exit comes as companies listed on Zimbabwe’s capital markets continue reviewing their listing structures amid changing economic conditions and efforts to enhance shareholder value.

The VFEX has attracted several companies seeking access to foreign currency capital, with listings spanning mining, manufacturing, financial services and retail sectors.

Edgars Stores Limited remains one of Zimbabwe’s largest clothing retailers, operating brands including Edgars, Jet and Carousel. The group has been implementing operational measures aimed at improving efficiency, strengthening its retail footprint and responding to changing consumer trends.

The company’s final exit from VFEX will be subject to regulatory approvals and completion of the prescribed procedures.
