Manager in court for forging company directorship documents

A Harare man has appeared in court on allegations of fraudulently appointing himself as a director of a company using forged corporate documents.

Julius Mugariri appeared before Harare magistrate Ms Ruth Moyo, charged with forgery. He was granted bail and remanded to a later date.

The complainant is Adlan Auto Spares (Private) Limited, represented by its recently appointed director, Ms Pamela Chidikwindi.

Prosecutor Mr Takudzwa Jambawu told the court that on February 3, 2026, Ms Chidikwindi was granted a special Power of Attorney by her brother, Mr Brian Ndudzo, a director of the company, to oversee the firm’s affairs while he was undergoing medical treatment.

As part of her duties, Ms Chidikwindi engaged Clear View Consultancy (Private) Limited to conduct preliminary checks on the company’s operations and systems.

During the exercise, the consultancy reportedly detected irregularities and recommended a forensic audit.

The court heard that forensic auditors from TMC Chartered Accountants subsequently carried out investigations and allegedly discovered that company records reflected Mugariri as a director following the filing of a CR6 form.

Investigations revealed that the appointment was allegedly effected on May 17, 2022, before Mr Ndudzo was admitted to intensive care.

According to the State, no company resolution authorising the change in directorship could be produced, contrary to the provisions of the Companies and Other Business Entities Act (Chapter 24:31).

It is alleged that the appointment was made without an ordinary resolution of shareholders or a decision of the board of directors.

The court heard that when Ms Chidikwindi asked her brother about Mugariri’s appointment, Mr Ndudzo allegedly denied ever appointing him as a director, insisting that he had only served as the company’s manager.

When confronted over the issue, Mugariri allegedly maintained that Mr Ndudzo had appointed him before falling ill, adding that he may have forgotten the decision because he had previously suffered memory loss during his illness.

The matter was subsequently reported to the police, leading to Mugariri’s arrest.
